Abstract: | O objetivo desta dissertação é contribuir para um melhor conhecimento dos desafios que se apresentam às empresas familiares, nomeadamente no que diz respeito à necessidade de planearem adequadamente a sucessão, e de adotarem procedimentos quanto à regulação de relações e interesses, potencialmente conflituantes, resultantes da intervenção da família no governo e gestão da empresa familiar.
Com o recurso a um caso de estudo que integra os vários aspetos abordados sobre a empresa familiar BES, evidenciam-se alguns problemas típicos destas organizações que tendem a comprometer a sua sustentabilidade no longo prazo.
O caminho proposto para que sejam ultrapassadas algumas das indefinições, passa pela adoção mais generalizada de um instrumento regulador dos papéis da família na empresa. O modelo de governação adotado pela empresa familiar não é genericamente diferente do adotado pelas suas congéneres não familiares e não acautela algumas das especificidades destas organizações pelo que deverá ser adotado, mesmo que complementarmente, um mecanismo regulador das relações entre a empresa e a família como é o caso do protocolo familiar; Abstract:
Impact of the governance model adopted by family businesses in succession planning
The aim of this dissertation is to contribute to a better knowledge of the challenges presented to the family company, in particular regarding the need of suitable planning the succession, and to adopt proceedings to the regulation of relations and interests, potentially conflicting, resulting of the family intervention in the management of the family’s company.
A case study that integrates the several approached aspects about the family company – BES - is presented, highlighting some typical problems of these organizations that tend to compromise their sustainability in a long term.
The proposed path to overcome some of these loose ends, passes by the generalized adoption of a regulator instrument of the family role in the company. The government model adopted by the family company isn’t generically different from the model adopted by its unfamiliar counterparts and doesn’t caution some of the specifics of this organizations for what it should be adopted, even though in addition, a regulator mechanism of the relations between the company and the family as it is the case of the family protocol. |
